The basics:
- Prudential to sell Brazil, Mexico businesses for $4.025B cash
- CNP Assurances deal expected to close in second half of 2027
- Proceeds to fund priority growth markets and businesses
- At home, Newark-based company also plans to sell two office towers
Prudential Financial Inc. continues to streamline its business, with the Newark anchor institution revealing plans to exit two emerging markets.
On Oct. 20, Pru said it entered into definitive agreements to sell Prudential of Brazil and Prudential of Mexico to The CNP Assurances Group – CNP Seguradora, its Brazilian subsidiary, and CNP Assurances Holding, respectively – for an aggregate price of $4.025 billion in cash.
The deal is subject to certain closing adjustments and customary conditions, including regulatory approvals. The parties expect to close in the second half of 2027
In August, Prudential said it planned to shrink the geographic footprint of its retirement and insurance business by about half, Reuters reported.
The latest sale also comes after other planned deals that will remove Prudential from several joint ventures. The company cited its stakes in:
- PT PFI Mega Life Insurance in Indonesia
- Alexforbes in South Africa
- ICEA LION in Kenya, which closed Oct. 13
Prudential says it intends to use proceeds from the sales to support capital allocation priorities. It said it will also invest in highest-priority growth opportunities in retirement, asset management and select protection businesses in the U.S., Japan as well as select European markets.
Building a ‘simpler, more focused Prudential’
“We’re continuing to build momentum and advance our strategy to direct capital to the businesses and markets where we see the greatest opportunity for long-term growth and value creation,” Prudential Chairman and CEO Andy Sullivan said in the Tuesday announcement.
He added, “We remain focused on narrowing our geographic footprint and building a simpler, more focused Prudential.”
For the buyer, CNP Assurances CEO Marie-Aude Thépaut said the transaction represents a major step forward in Latin America. According to that company, Prudential of Brazil protects 6.9 million policyholders. As of Dec. 31, 2025, it generated revenue of $1.46 billion and “solid profitability.” Prudential of Mexico generates revenue of $112.37 million, it said.
Deal team
Morgan Stanley served as financial advisor to Prudential. Willkie Farr & Gallagher, Mattos Filho in Brazil and Perez Llorca in Mexico served as legal counsel to Prudential.
Meanwhile, Goldman Sachs served as financial advisor to the buyer. And Skadden, Arps, Slate, Meagher & Flom LLP, BMA Advogados in Brazil and Galicia Abogados SC in Mexico served as legal counsel to CNP Assurances.
The transaction follows word at the end of September that Pru plans to consolidate its footprint in the Brick City by selling two of its three office towers in Newark.
In October, the company filed a WARN notice with the state indicating it would cut for 125 jobs in its headquarters city by year-end.
With $1.6 trillion in assets under management, Prudential reported net income of $985 million in the second quarter, compared with $533 million for Q2 2025. The company will release its Q3 results Nov. 3.
